1. About these Terms of Use
These Terms of Use (the “Terms”) are issued by AugDapt Pte. Ltd., a company incorporated in Singapore under Unique Entity Number 202615269N (“AugDapt”). They govern access to and use of the Services by every Account Holder and every visitor to AugDapt’s websites.
By creating an account, accepting these Terms through an available account control, or using the Services, an Account Holder agrees to these Terms and acknowledges the Privacy Policy.
Where a Customer Organisation has executed the Master Services Agreement and an Order Form, those documents apply in addition to these Terms for that organisation and its Authorised Users. If these Terms conflict with the Master Services Agreement or an Order Form in respect of a Customer Organisation’s use, the Master Services Agreement and Order Form prevail. Individual Account Holders are governed by these Terms and the Privacy Policy alone.
2. Definitions
Capitalised terms have the meanings given below. Terms defined in the Privacy Policy have the same meaning in these Terms unless stated otherwise.
“Account Holder” means a person who creates, administers or controls an account for the Services.
“Customer Content” means compositions, images, scans, documents, rubrics, comments, reports, prompts, instructions and other materials submitted to, stored in or generated through the Services.
“Customer Organisation” means a school, tuition centre, education provider, company, charity or other organisation that subscribes to or uses the Services.
“Learner” means a student or other person whose work or Personal Data is processed through the Services.
“Master Services Agreement” means AugDapt’s then-current Master Services Agreement at augdapt.com/legal/service-agreement, applicable to organisational customers by execution of an Order Form.
“Order Form” means an order, service order, subscription form, proposal or statement of work executed by AugDapt and a Customer Organisation that refers to the Master Services Agreement.
“Output” means feedback, reports, scores, suggestions, analytics, generated text and other results produced through the Services.
“Personal Data” has the meaning given under applicable data-protection law, including the Personal Data Protection Act 2012 of Singapore.
“Privacy Policy” means AugDapt’s then-current public privacy policy at augdapt.com/legal/privacy.
“Services” means the AugDapt platform, MarkingMates and any associated websites, applications, analytics, integrations, reports and educational tools.
3. Eligibility and Accounts
3.1 Eligibility
An Account Holder must be at least 18 years of age, or must use the Services under the authorisation and supervision of a Customer Organisation or a parent or legal guardian with the authority to accept these Terms on their behalf.
3.2 Account information
An Account Holder must provide accurate registration information and keep it up to date. An account is personal to the individual for whom it was created and must not be shared. AugDapt may decline, suspend or reclaim an account created with false information or in breach of these Terms.
3.3 Credentials and responsibility
An Account Holder is responsible for safeguarding their sign-in method and devices and for activity carried out through their account, except to the extent caused by AugDapt’s breach of these Terms. Where an external identity provider is used, AugDapt does not receive the password for the external account.
3.4 Suspected compromise
An Account Holder must notify AugDapt promptly at admin@augdapt.com if unauthorised access to their account is suspected.
4. The Services
4.1 Description
The Services comprise the AugDapt platform, including MarkingMates and associated educational tools for composition marking, feedback, reporting, practice generation and related classroom functions. The features available to an Account Holder depend on the selected plan and, for Authorised Users of a Customer Organisation, on the applicable Order Form.
4.2 Changes to the Services
AugDapt may improve, modify or replace features from time to time. AugDapt will not materially reduce the core functionality of a paid plan during a current paid period without reasonable notice, except where necessary for security, legal compliance, third-party dependency changes or prevention of misuse.
4.3 Beta and pilot features
A feature identified as beta, preview, pilot, experimental or early access may be changed, suspended or discontinued at any time, is provided without any service-level commitment, and should not be relied upon for high-stakes or final assessment decisions.
5. Acceptable Use
An Account Holder must not:
- use the Services unlawfully, fraudulently or in a manner that infringes another person’s rights;
- upload Customer Content without the required authority, notice or consent;
- use the Services to harass, exploit, discriminate against or endanger a person;
- introduce malware, attempt unauthorised access, probe security controls or disrupt or overload the Services;
- circumvent usage limits, share credentials or misrepresent an identity;
- reverse engineer, decompile, scrape or extract the Services except to the extent a restriction is prohibited by law;
- resell, sublicense or otherwise commercialise access to the Services without a written agreement with AugDapt;
- use the Services or Output to build or train a substantially competing marking or writing-analytics service without AugDapt’s written permission;
- remove proprietary notices or falsely attribute Output to a human assessor;
- submit content that is unlawful or that the Account Holder is not authorised to process.
AugDapt may investigate suspected misuse and may restrict the affected content or account where reasonably necessary to protect the Services, users or third parties.
6. Learners, Minors and Authority to Upload
Learner work and Learner identifiers may constitute Personal Data and may include sensitive content. An Account Holder must have the authority - from the relevant school, parent or legal guardian, or otherwise under applicable law - to submit that information to AugDapt and to use the Services for the intended educational purpose, and must provide any notice and obtain any consent required by applicable law, contract or institutional policy. Unnecessary sensitive Personal Data should not be submitted.
Customer Content is not added to the Calibration Corpus through these Terms. Calibration Corpus participation requires a separate opt-in consent as described in the Privacy Policy, and refusing or withdrawing that consent will not prevent ordinary use of the Services.
7. Customer Content
7.1 Ownership
As between AugDapt and the Account Holder, the Account Holder retains their rights in Customer Content. AugDapt does not acquire ownership of Customer Content merely because it is submitted to the Services.
7.2 Licence to provide the Services
The Account Holder grants AugDapt a non-exclusive, worldwide, limited licence, for the duration of the account and the applicable retention period, to host, copy, process, transmit, display, modify and create technical derivatives of Customer Content only as reasonably necessary to provide, secure, support and maintain the Services, follow the Account Holder’s instructions, and meet legal obligations, in each case in accordance with the Privacy Policy.
7.3 No corpus reuse without separate consent
The licence in Section 7.2 does not authorise AugDapt to include Customer Content in the Calibration Corpus or to use identifiable Customer Content to train general-purpose models. Those uses require a separate lawful basis and any required consent.
8. Output and AI-Assisted Features
8.1 Nature of Output
The Services may use automated rules, classifiers, language models and human review. Output may contain errors, omissions, uncertainty, bias, inappropriate wording or content similar to output produced for another user. AugDapt does not warrant that an automated result is equivalent to the judgement of a qualified teacher, examiner, language specialist or disciplinary expert.
8.2 Professional review
Output is assistance for a qualified adult, not a replacement for one. An Account Holder must exercise professional judgement and review Output before it is used for teaching, assessment, reporting or communication with a Learner or parent, and remains responsible for every mark and comment released to a Learner or parent. An Account Holder must not represent Output as an official examination grade or guaranteed result, and must not use Output as the sole basis for a high-stakes decision affecting a Learner.
9. Plans, Credits and Payment
9.1 Plans
Plan tiers, allowances and prices are described at the point of selection within the Services. AugDapt may adjust free-tier limits with notice. For Customer Organisations, commercial terms are stated in the applicable Order Form, which prevails over this Section for that organisation.
9.2 Credits
Where the Services use prepaid credits or usage units, they are consumed as described in the Services, have no cash value, are not currency, are not transferable, and may expire with the applicable plan period, unless AugDapt agrees otherwise in writing.
9.3 Billing, refunds and chargebacks
Fees are quoted in Singapore dollars and exclude applicable taxes unless stated otherwise. Fees are non-refundable except where these Terms or applicable law expressly provide otherwise, or where AugDapt terminates an affected paid Service for legal or security reasons unrelated to the Account Holder’s breach, in which case prepaid fees for the unused affected period will be refunded. An Account Holder should raise a good-faith billing dispute with AugDapt at admin@augdapt.com before initiating a chargeback.
10. Availability and Support
The Services are provided on an “as available” basis during the pilot phase. No uptime service-level commitment applies to individual accounts. AugDapt may perform planned or emergency maintenance and may temporarily limit access where reasonably necessary for security, legal compliance, infrastructure changes or prevention of material harm.
11. Suspension and Termination
11.1 By the Account Holder
An Account Holder may stop using the Services at any time and may request deletion of their account and Customer Content. Deletion is handled as described in the Privacy Policy: deleted content is first placed in a recoverable state and scheduled for permanent deletion after 30 days.
11.2 By AugDapt
AugDapt may suspend or terminate an account or affected part of the Services where reasonably necessary because of a material breach of these Terms, an actual or suspected security incident, unlawful, harmful or abusive use, a risk to the Services or another person, an overdue undisputed payment after notice and a reasonable opportunity to cure, a legal or regulatory requirement, or discontinuation of a critical third-party dependency. Where practicable, AugDapt will limit the suspension to the affected content or function and provide a reasonable opportunity to export Customer Content before access ends.
12. Intellectual Property
AugDapt and its licensors retain all rights, title and interest in and to the Services, documentation, software, interfaces, workflows, taxonomies, analytics architecture, prompts, templates, models, branding and improvements, excluding Customer Content. No rights are granted except those expressly stated in these Terms.
13. Disclaimers and Limitation of Liability
13.1 Disclaimers
Except as expressly stated in these Terms and to the maximum extent permitted by law, the Services and Output are provided on an “as available” basis, and AugDapt disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, non-infringement and uninterrupted or error-free operation.
13.2 Limitation
To the maximum extent permitted by law, AugDapt’s aggregate liability arising out of or relating to these Terms will not exceed the greater of S$1,000 and the fees paid by the Account Holder in the 12 months immediately preceding the event giving rise to liability, and neither party is liable for indirect, incidental, special or consequential loss.
13.3 Liabilities not limited
Nothing in these Terms limits liability for fraud, fraudulent misrepresentation, wilful misconduct, or death or personal injury caused by negligence, and nothing excludes rights or remedies that cannot lawfully be excluded, including rights under applicable consumer protection law.
14. Changes to these Terms
AugDapt may amend these Terms to reflect changes to the Services, legal requirements or business practices. AugDapt will update the version and effective date and will ask Account Holders to accept the new version on their next sign-in. Continued use does not by itself constitute consent to a materially different optional use where separate consent is legally required.
15. General
These Terms, together with the Privacy Policy and, for Customer Organisations, the Master Services Agreement and applicable Order Forms, constitute the entire agreement concerning their subject matter. If a provision is unenforceable, it will be modified to the minimum extent necessary and the remaining provisions will continue. A waiver must be in writing and applies only to the specific instance. An Account Holder may not assign these Terms without AugDapt’s written consent; AugDapt may assign them in connection with a merger, restructuring, financing or sale of substantially all relevant business assets.
16. Governing Law and Jurisdiction
These Terms are governed by the laws of Singapore, and the courts of Singapore have exclusive jurisdiction. Before commencing proceedings, the parties will attempt in good faith for at least 30 days to resolve a dispute through discussion, unless urgent relief is required.
